who can form legally binding contracts

The buyers are solely responsible for
the items purchased. Buyers assume all
risk and liability arising from their
purchase of Expert Services .[Definitions:
"Expert" means any entity or individual
(collectively, the "Experts") who (1)
has an agreement with IVillage Net (2)
is contacted by Client or contacts Client
as a result of a reference made by IVillage
Net is not at the time of the referral
in discussions with or already a consultant
for Client].
- IVillage Net Ltd is not responsible
in any way for the content or context
of information provided by the buyer or
seller. [Client Acknowledges that IVIllage
Net Ltd will assume no liability to client
services provided by the expert]
- IVillage Net Ltd does not have any part
of the uses or the warranties expressed
or implied on services listed at this
web site. ["Services" means any and all
consulting services provided by Experts
to Client as a result of the referral
of the Expert to the Client. Additional
consulting services performed by the Expert
involving the Client personnel participating
in the initial project or resulting from
a referral obtained from Client personnel
participating in the initial project shall
be considered part of the "Services"]
- Relationship of the Parties. The relationship
between Expert and IVillage Net Ltd shall
not be construed to be that of employer
and employee, nor to constitute a partnership,
joint venture or agency of any kind. Neither
party shall have any right to enter into
any contracts or commitments in the name
of, or on behalf of, the other party,
or to bind the other party in any respect
whatsoever.
- Except for the express license rights
granted herein, all right, title and interest
in and to the Website and any modifications
and enhancements thereto, including all
copyright, patent, trademark, trade secret
and other intellectual property rights
in or relating thereto, shall be and remain
in IVillage Net Ltd . While using the
Website, Client agrees to abide by the
Acceptable Use Policy posted on the Website
from time to time. IVIllage Net Ltd agrees
to use information disclosed Expert in
accordance with the terms of this Agreement
and IVillage Net Ltd Privacy Policy as
posted on the Website.
- IVIllage Net Ltd only serve as facilitator
and will not engage in any sales negotiations
on behalf of Experts or perspective buyers
of the said services.
- IVillage Net Ltd cannot prevent users
from registering with false personal information.
IVillage Net Ltd urges exercise of the
same caution in doing business with users
of this system that a reasonable person
would exercise in doing business with
an unfamiliar party.
- IVillage Net Ltd uses its best efforts
to maintain this site, but is not responsible
for any defects in the system, or for
any lost profits or other consequential
damages that may result from such defects.
Users agree to indemnify and hold IVillage
Net Ltd harmless with regard to any loss
or damage experienced from using this
